1 - APPLICABILITY

These terms and conditions apply to all quotations, agreements and work carried out by DYKZ. Deviations are only valid if agreed in writing. The general terms and conditions of the Client are expressly excluded.

2 - QUOTATION AND ACCEPTANCE

All quotations from DYKZ are non-binding and valid for 7 days, unless stated otherwise. DYKZ is only bound by the work described in the quotation. The agreement comes into effect as soon as the Client, as instructed by DYKZ, makes a deposit and/or provides the necessary information and access. DYKZ reserves the right to decline an assignment without stating a reason.

3 - BEST-EFFORTS OBLIGATION

DYKZ carries out its work to the best of its knowledge and ability (a best-efforts obligation, not a results obligation). Stated deadlines are indicative and do not constitute strict deadlines. The delivery period only commences once all necessary information, materials and feedback have been fully and promptly supplied by the Client. Delays resulting from the late or incomplete supply of information are entirely at the Client's expense and risk.

The Client is responsible for the accuracy and lawfulness of the content supplied. Any damage arising from incorrect or unlawful content is entirely for the Client's account.

4 - LIABILITY AND FORCE MAJEURE

DYKZ is not liable for indirect damage, consequential damage, loss of profit, missed savings or damage due to business interruption. Any liability is limited to the invoice amount of the relevant assignment. Liability only arises if:
- the Client gives DYKZ written and proper notice of default;
- a reasonable period is given to remedy the issue;
- DYKZ remains attributably in default after this period.

Force majeure is understood to mean any circumstance beyond DYKZ's control as a result of which performance cannot reasonably be required. In the event of force majeure, DYKZ is not obliged to pay compensation or to perform.

5 - PERFORMANCE OF WORK

The services below are only offered in combination with the development of a website.

5a - SEO / GEO

DYKZ makes efforts towards a technically sound foundation, including the creation of a sitemap.xml, registration with Google Search Console, application of meta tags, correct heading structure, use of structured data and alt text. Every page is demonstrably 100% W3C valid and has an average Google PageSpeed score of at least 95/100.

Specific results, such as rankings or positions in search engines and AI overviews, are expressly not guaranteed.

5b - PHOTO EDITING

Images are optimised for web use. Extensive image editing, such as retouching and background removal, is not included unless otherwise agreed in writing.

5c - OUTSOURCING THE DESIGN

DYKZ delivers a design based on input from the Client. Rounds of revisions are included within reasonable limits. Excessive changes may, by agreement, be invoiced additionally.

5D - DOING THE DESIGN YOURSELF

If the Client chooses to supply the design themselves, it is ideally advisable to take multiple versions into account. At a minimum, a version for smartphone, mobile and a version for a larger desktop screen. Designs supplied must be technically feasible. DYKZ can provide non-binding advice on this.

6 - PAYMENT TERMS

Invoicing takes place after delivery. The payment term is 14 days from the invoice date. In the event of late or incomplete payment, the Client is automatically in default and statutory interest is payable. Collection and legal costs are entirely for the Client's account.

7 - OWNERSHIP

All intellectual property rights remain with DYKZ until payment has been made in full. Following full payment, the rights of use transfer to the Client.

8 - WARRANTY

DYKZ websites are guaranteed to be maintenance-free and to work on all devices and with all browsers. Should it turn out, within 36 months of delivery, that this is not the case, DYKZ will resolve this free of charge. This warranty may lapse if third parties make changes to the website.

Although DYKZ stands for quality and this is guaranteed, this warranty is not unlimited. Claims made outside the 36-month warranty period will still be handled by DYKZ within reason.
